The deal is part of the process announced in July 2024. Initially, in March 2025, Banca March transferred 49% of Inversis's capital to Euroclear for 172 million euros. The second part of the transaction took place this week, with Banca March transferring 41% of Inversis's share capital to Euroclear for 221 million euros.
The transaction also provides for Euroclear to complete the acquisition of 100% of Inversis's share capital within 18 months from the closing of this second phase of the transaction.
With this operation, Inversis will gain international presence, while the company has emphasized that it represents an "unprecedented expansion of its value proposition for institutional clients."
The agreement will allow Inversis to access larger clients and expand its business model into other markets. Operationally, the company will act as a platform for Euroclear's Mediterranean strategy, a milestone that will drive growth in both the Spanish market and Italy, where Inversis already has a representative office.
For Euroclear, this alliance strengthens its presence in southern Europe and reinforces its role in supporting the Savings and Investment Union (SIU). For its part, Banca March has stated that it will benefit from these expanded capabilities, both in the context of its own international expansion and in the services it offers its clients, while maintaining a "privileged relationship" with Euroclear as a strategic partner.
Banca March acquired 100% of Inversis in 2014, following the savings bank crisis. Now that the company has improved its financial situation, Banca March is passing the baton to Euroclear, a global partner capable of "expanding the scope and scale of Inversis's development," according to the entity.
AN "IDEAL" PARTNER
Euroclear FundsPlace currently manages €4.6 trillion, connecting more than 3,000 distributors and 2,500 asset managers worldwide, as well as providing access to around 250,000 funds through a standardized and scalable infrastructure.

For his part, Banca March CEO José Luis Acea explained that the full sale to Euroclear comes after identifying Euroclear as an "ideal partner" to take Inversis to a new phase of development.
"Over the years, Banca March had received numerous offers from other market players, which were rejected because they did not guarantee that Inversis would maintain its first-class value proposition in asset distribution services, nor did they reflect the company's true potential; on the contrary, they proposed its fragmentation, with the consequent destruction of value," Acea clarified.
